Terms of Service

These Terms of Service ("Terms") govern your use of the MedX Assistant Chrome extension and associated web services (collectively, the "Service") provided by MedX Technologies ("MedX", "we", "our", or "us"). By installing or using the Service, you agree to these Terms.
1. Eligibility
The Service is intended solely for use by licensed healthcare professionals and authorised personnel at healthcare facilities that have completed a MedX deployment agreement. You must be at least 18 years old and have the authority to bind yourself and your organisation to these Terms.
2. Licence
Subject to these Terms, MedX grants you a limited, non-exclusive, non-transferable, revocable licence to use the Service solely for your internal clinical workflow purposes at your facility. You may not sublicence, sell, resell, or otherwise transfer the Service to any third party.
3. Facility Deployment Requirement
The Service requires a facility-level deployment by MedX before it can be used. Installation of the Chrome extension alone does not activate the Service. Your healthcare facility must have an active deployment agreement with MedX.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable regulations, including HIPAA.
- Attempt to reverse-engineer, decompile, or extract source code from the Service.
- Access the Service using credentials other than your own.
- Interfere with or disrupt the integrity or performance of the Service or facility backend.
- Use the Service to access patient data beyond the scope of your clinical role.
5. Patient Data and HIPAA
All patient health information accessed through the Service is governed by applicable healthcare privacy laws, including HIPAA. You are responsible for using the Service in compliance with your facility's HIPAA policies and your professional obligations. MedX processes patient data solely as a service provider to your facility and in accordance with any applicable Business Associate Agreement.
6. Intellectual Property
The Service, including all software, designs, and content, is owned by MedX Technologies and protected by applicable intellectual property laws. These Terms do not grant you any rights in MedX's intellectual property other than the limited licence described above.
7. Disclaimers
The Service is provided as a clinical decision support tool and is not a substitute for professional medical judgement. MedX makes no warranty that the Service is error-free or that outputs are clinically complete or accurate. All clinical decisions remain the sole responsibility of the treating clinician.
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEDX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF MEDX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. MEDX'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOUR FACILITY TO MEDX IN THE THREE MONTHS PRECEDING THE CLAIM.
9. Termination
MedX may suspend or terminate your access to the Service at any time if you violate these Terms or if your facility's deployment agreement is terminated. Upon termination, your licence to use the Service ceases immediately.
10. Changes to These Terms
We may update these Terms from time to time. We will post the updated Terms on this page with a revised "Last updated" date. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms.
11. Governing Law
These Terms are governed by the laws of Uganda, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Kampala, Uganda.
